Terms of Service — Demand-response aggregator for agent fleets

The product is provided by TextForAgents LLC as a demand-response aggregator for agent fleets. Each task class is pre-registered in a deferrability manifest with a shed contract (max pause latency, max event duration, resume semantics, checkpoint requirement, declared envelope) — a curtailment event executes against those contracts, never improvises against live work.

Verified shed is computed against a baseline built only from meter-signed windows timestamped before manifest registration, as a median, capped by the manifest's declared envelope. Every history window must carry a valid meter signature (HMAC-SHA256 with the meter key registered in the manifest); unsigned or badly signed windows are refused and can never count toward a baseline. Load run up after signing can never raise the baseline. Production manifest guidance defaults the envelope to ≤110% of measured baseline; an operator who sets a looser envelope accepts the larger bounded inflation headroom the lab report states plainly.

Settlement is two-part: a capacity payment for manifest availability, paid only in proportion to periodic readiness-probe pass rates, plus an event payment per verified shed unit, settled in USDC via x402. The aggregator share is 15% of capacity + event payments secured. Event and capacity rates are set per capacity-buyer contract; no buyer rate is promised in these terms, because no capacity-buyer price has been measured yet (MEMO-052 / LABREPORT-054, Q4 UNMEASURED).

A class that reports no actuals for an event earns exactly 0 shed; partial actuals streams earn partial shed (conservative by design) and the settlement record flags the stream as incomplete. Shed execution pauses at checkpoint boundaries and parks work in hash-bound capsules; resume is a revalidation, and a tampered capsule is refused.

Nothing in these terms guarantees that a capacity holder will buy shed, or at what price. The lab's assumed settlement rates ($0.005/unit event, $0.50/unit capacity in EV1) are labeled assumptions in the lab report, not representations about any real buyer, event, or fleet.

Pricing: Fleet manifest $19/mo per fleet · Aggregator share 15% of capacity + event payments secured · Attestation API $0.001/check (x402). One simulated curtailment event free, one time per fleet — never a perpetual free manifest. Support: support@textforagents.com.
